01About these terms
These terms govern your use of tuvidigital.in and your dealings with TUVI Digital (“TUVI”, “we”, “us”), a software and automation studio based in India. By using the website, submitting an enquiry or messaging us, you agree to them. If you do not agree, please do not use the website.
If you engage us for a project, the signed proposal or agreement for that project also applies. Where it conflicts with these terms, the signed document takes priority.
02Our services
We design, build and operate workflow automation, AI integrations, WhatsApp and voice assistants, content and social media systems, CRM and ERP tools, websites and mobile applications. We also run advertising and messaging on behalf of clients.
Descriptions on this website are general information, not an offer. The scope, deliverables, timeline and price of any work are those set out in the proposal you accept.
03Using the website
You agree not to:
- use the website for anything unlawful, or to send spam or false enquiries;
- attempt to break, overload, probe or gain unauthorised access to the website or its systems;
- copy or scrape the website by automated means, other than ordinary search-engine indexing;
- impersonate another person or misstate your connection to a business.
04Demo and calculator
The live workflow demo is a simulation, and the calculator performs simple arithmetic on the figures you enter. Neither is a quotation, a forecast or a guarantee of results. Actual outcomes depend on your business, your data and the scope of work.
05Enquiries and messages
When you submit a form, message us or call us, you agree that we may contact you about that enquiry by email, phone or WhatsApp.
We send marketing messages on WhatsApp only if you have opted in, and you can stop them at any time by replying STOP. Our Privacy Policy explains how we handle your data.
06Proposals, fees and payment
- Prices, payment schedule and taxes are set out in your proposal. Fees are exclusive of GST and other applicable taxes unless stated otherwise.
- Charges from third parties (for example Meta advertising spend, WhatsApp conversation charges, telephony minutes, AI model usage, hosting and software licences) are payable by you, either directly to the provider or to us at cost, as the proposal specifies.
- Work may be paused if an invoice is overdue.
07Cancellations and refunds
Either of us may end a project as set out in the proposal. Unless the proposal says otherwise, fees for work already delivered and third-party costs already incurred are not refundable, and any advance paid for work not yet started is refunded.
Advertising spend and platform charges paid to third parties cannot be refunded by us.
08Your responsibilities
- Give us accurate information and timely access to the accounts, systems and people the project needs.
- Make sure you have the right to use the content, data and contact lists you give us.
- Obtain valid opt-in from your customers before we message them on your behalf, and honour their opt-outs.
- Keep your own Meta, WhatsApp Business and other platform accounts in good standing and comply with those platforms’ policies.
- Review and approve content, adverts and automated messages before they go live.
09Third-party platforms
Our services rely on platforms operated by others, including Meta (Facebook, Instagram, the Marketing API and the WhatsApp Business Platform), telephony carriers, AI model providers and hosting companies. Your use of them through our work is subject to their terms and policies.
We do not control those platforms. They may change features, pricing or rules, reject adverts or message templates, limit or suspend accounts, or suffer outages. We will help you respond, but we are not liable for those decisions or for losses they cause.
TUVI Digital is an independent business. We are not affiliated with, endorsed by or sponsored by Meta Platforms, Inc.
10AI-generated output
Some of what we build uses AI models to generate text, images, audio or decisions. AI output can be inaccurate or incomplete. We design review steps into our systems, and you remain responsible for checking output that is published or acted on in your name.
11Intellectual property
The content of this website (text, design, graphics and code) belongs to TUVI Digital or its licensors and may not be reused without permission.
Unless your proposal says otherwise, ownership of the deliverables created specifically for you passes to you once they are paid for in full. We keep ownership of our pre-existing tools, libraries and know-how, and grant you a licence to use them as part of the deliverables. Third-party software remains under its own licence.
12Confidentiality
Each of us will keep the other’s non-public business information confidential and use it only for the project, except where disclosure is required by law. We may name you as a client and describe the work in general terms unless you ask us not to.
13Disclaimers
The website is provided “as is”. We try to keep it accurate and available but do not promise that it will be error-free or uninterrupted. Nothing on it is legal, financial or professional advice. We do not guarantee any particular number of leads, sales, cost savings or other commercial result.
14Limitation of liability
To the extent the law allows, we are not liable for indirect or consequential loss, or for loss of profit, revenue, data or goodwill, arising from the website or our services.
Our total liability for any claim relating to a project is limited to the fees you paid us for the services that gave rise to the claim. Nothing in these terms limits liability that cannot be limited by law.
15Indemnity
You agree to compensate us for losses and costs arising from content, data or instructions you supplied, from your breach of these terms, or from your breach of a third-party platform’s policies.
16Governing law
These terms are governed by the laws of India. Any dispute will first be discussed in good faith between us. If it is not resolved, it will be subject to the jurisdiction of the competent courts in India.
17Changes to these terms
We may update these terms from time to time. The date at the top shows the latest revision. Continued use of the website after a change means you accept the updated terms.
18Contact
For any question about these terms, email contact@tuvidigital.in, call or message +91 98990 32397, write to us on WhatsApp, or use the contact form.
